Terms of Service

1. Agreement to Terms

People Perfect LLC ("People Perfect", "we", "us") provides the People Perfect software and services ("Service"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

People Perfect provides cloud-based case management software designed for homeless shelters, outreach organizations, and social service providers. The Service includes:

  • Resident and client management tools
  • Case note documentation
  • Data sharing and coordination features
  • Reporting and analytics
  • Real-time messaging and communication
  • Additional features as described in your subscription plan

3. User Accounts

Account Creation

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be at least 18 years of age
  • Represent a legitimate organization providing social services

Account Responsibility

You are responsible for:

  • All activity that occurs under your account
  • Maintaining the confidentiality of your password
  • Notifying us immediately of any unauthorized access
  • Ensuring your users comply with these Terms

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Upload malicious code or attempt to breach security
  • Use the Service to transmit spam or unsolicited messages
  • Reverse engineer or attempt to extract source code
  • Share your account with unauthorized third parties
  • Use the Service in a way that could damage or impair availability for others

5. Data Ownership and Responsibility

Your Data

You retain all rights to the data you input into the Service. We claim no ownership over your data. You are solely responsible for:

  • The accuracy and legality of data you collect
  • Obtaining proper consent from individuals whose data you collect
  • Complying with applicable privacy laws (HIPAA, state laws, etc.)
  • Maintaining appropriate data retention and destruction policies

Our Role

As your data processor, we:

  • Process your data only as instructed by you
  • Implement appropriate security measures
  • Will sign a Business Associate Agreement (BAA) as required
  • Assist with data subject requests when required

6. Subscription and Payment

Fees

You agree to pay all fees associated with your chosen subscription plan. Fees are:

  • Billed monthly or annually as selected
  • Due in advance for each billing period
  • Non-refundable except as required by law
  • Subject to change with 30 days notice

Payment Method

You authorize us to charge your payment method on file for all fees. If payment fails, we may:

  • Suspend access to the Service
  • Charge late fees as permitted by law
  • Terminate your account after 30 days of non-payment

7. Service Availability

We strive to provide reliable service, but we cannot guarantee:

  • 100% uptime or uninterrupted access
  • Error-free operation
  • That the Service will meet all your specific needs

We will provide reasonable notice for scheduled maintenance when possible.

8. Intellectual Property

The Service, including all software, features, content, and trademarks, is owned by People Perfect LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

9. Confidentiality

Both parties agree to maintain the confidentiality of information marked as confidential or that should reasonably be understood to be confidential. This obligation survives termination of these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We provide the Service "AS IS" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the 12 months before the claim
  • We are not liable for data loss if you failed to maintain backups

11. Indemnification

You agree to indemnify and hold harmless People Perfect LLC from claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Your data or how you obtained it

12. Termination

By You

You may terminate your subscription at any time by canceling through your account settings or contacting support.

By Us

We may terminate or suspend your access immediately if you:

  • Breach these Terms
  • Fail to pay fees owed
  • Use the Service in a way that creates legal risk
  • Engage in fraudulent or illegal activity

Effect of Termination

Upon termination:

  • Your access to the Service ends immediately
  • You may export your data within 30 days
  • We will delete your data after 90 days unless legally required to retain it
  • You remain responsible for all fees incurred before termination

13. Changes to Terms

We may modify these Terms at any time. We will:

  • Post the updated Terms on this page
  • Update the "Last updated" date
  • Notify you via email for material changes
  • Provide 30 days notice before changes take effect

Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Tennessee and applicable federal law of the United States, without regard to conflict of law provisions. Any disputes must be resolved in the state or federal courts located in Putnam County, Tennessee.

15. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and People Perfect LLC
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect
  • Waiver: Failure to enforce any provision does not constitute a waiver
  • Assignment: You may not assign these Terms without our written consent
