QuickBooks Online Integration
End-User License Agreement

1. About this agreement

This End-User License Agreement ("Agreement") governs your use of the QuickBooks Online integration (the "Integration") within People Perfect (the "Service"). It is between People Perfect LLC ("we", "us") and the organization that connects a QuickBooks Online company to its People Perfect account ("you"). The Integration is part of the Service, so our Terms of Service also apply to it; where the two differ about the Integration, this Agreement controls. How we handle information through the Integration is described in the QuickBooks Online Integration Privacy Policy.

By connecting a QuickBooks Online company to People Perfect, you agree to this Agreement on behalf of your organization, and you confirm that you have the authority to do so and to connect that QuickBooks company.

2. What the Integration does

When an administrator of your People Perfect account connects your QuickBooks Online company, the Integration:

• Sends each successful Program Fees payment recorded in People Perfect - card, cash, check or money order - to your QuickBooks company as a sales receipt, on or after the start date you choose.
• Records each guest who pays fees as a QuickBooks customer, either by creating the customer or by using an existing customer your administrator matches them to.
• Uses the products/services, deposit account and payment methods your administrator chooses, and creates payment methods (such as "Cash" or "Check") when your company doesn't already have them.
• If your administrator chooses a Stripe fee account, adds a line to each card payment's sales receipt for the processing fee Stripe kept, and creates and maintains a "Stripe Processing Fees" service in your company for that purpose.
• Reads the lists it needs to offer those choices: customers, products and services, accounts and payment methods.

The Integration only adds and updates the records described above. It does not delete, void or change other transactions in your QuickBooks company, and it does not read your company's other transactions or reports.

3. License

Subject to this Agreement and your current People Perfect subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Integration for your organization's internal business purposes. You may not resell, sublicense or provide the Integration to anyone else, reverse engineer it, or use it to access QuickBooks companies you are not authorized to use.

4. Availability

The Integration is offered as part of eligible People Perfect plans and must be enabled for your account. It requires an active QuickBooks Online subscription, which you obtain from Intuit Inc. ("Intuit") separately. Your use of QuickBooks Online is governed by your agreement with Intuit, not by us.

5. Your responsibilities

• Accounting choices. You decide which products/services, accounts and start date the Integration uses, and which existing customers guests are matched to. Review those settings with whoever keeps your books. We do not provide accounting, tax or legal advice, and the Integration does not decide how your transactions should be classified or taxed.
• Review. You are responsible for reviewing and reconciling what appears in QuickBooks, including against your bank and Stripe deposits.
• Sales tax. If your QuickBooks company calculates sales tax automatically, make sure the products/services you choose are set up with the correct tax treatment.
• Information about guests. The Integration sends guests' names and billing email addresses, and their payment details, to your QuickBooks company. You are responsible for having the right to share that information with your accounting system and for complying with the laws and agreements that apply to it.
• Access. Only people authorized by your organization should be administrators in People Perfect or users of your QuickBooks company.

6. Connecting and disconnecting

You can disconnect at any time from Administration > Maintenance > QuickBooks Online in People Perfect, or from within QuickBooks Online. When you disconnect, we stop sending information to QuickBooks and discard the access credentials Intuit issued to us. Records already sent remain in your QuickBooks company, and they are yours to keep, change or delete there. Reconnecting the same company resumes sending with your earlier settings.

7. Third-party services

QuickBooks and QuickBooks Online are trademarks of Intuit Inc. People Perfect LLC is not affiliated with or endorsed by Intuit, and Intuit is not responsible for the Integration. Card payments and Stripe processing fees come from Stripe, Inc. We are not responsible for the availability, accuracy or conduct of QuickBooks Online or Stripe, and changes they make to their services may affect the Integration.

8. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE INTEGRATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE INTEGRATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT EVERY PAYMENT WILL REACH QUICKBOOKS WITHOUT DELAY. PAYMENTS THAT CANNOT BE SENT ARE HELD AND SHOWN IN PEOPLE PERFECT FOR YOUR REVIEW.

9. Limitation of liability

The limitation of liability in our Terms of Service applies to the Integration. In particular, we are not liable for indirect, incidental or consequential damages, or for losses arising from accounting, tax or business decisions made using information in QuickBooks.

10. Termination

This Agreement ends when you disconnect the Integration, when the Integration is turned off for your account, or when your People Perfect subscription ends. We may suspend or end the Integration if you breach this Agreement, if Intuit requires it, or if we stop offering it, with notice where reasonably possible. Sections 5, 7, 8, 9 and 11 survive termination.

11. General

Governing law, changes to terms, and the other general provisions of our Terms of Service apply to this Agreement. We may update this Agreement; the date above shows when it last changed, and we will notify account administrators of material changes.
